# Phase 4 — Acquisition

`Jan – Mar 2027`

**Objective:** Close. Co-leads close first; cohorts follow Feb–Mar. The lead's closing and permitting learnings feed every cohort close.

## Workstreams

* **4.1 Capital calls & close funds** — draw equity; align grant disbursement (lean on the bridge if needed); collect member buy-ins; draw debt/CDFI; escrow.
* **4.2 Negotiation & closing** — offers → PSA → close; a per-deal closing checklist.
* **4.3 On-chain registration** — onboard the facility asset; engage token mechanics; wallet asset visibility (EIP-747).
* **4.4 Pre-stand-up** — permits (incl. industrial/zone-specific), final design, mobilize contractors + member-builder crews, lock equipment + reclamation sourcing.

* **Risks:** financing/grant timing · appraisal gaps · permit delays · capital-call shortfalls.
